1. General provisions

1.1. This document is an official proposal (public offer) by individual entrepreneur (FOP) Andrii Vasylovych Vdovyn (hereinafter the “Contractor”) to enter into an Agreement for the provision of services to improve the digital accessibility of websites (hereinafter the “Agreement”) on the terms set out below.

1.2. In accordance with Articles 633, 641 and 642 of the Civil Code of Ukraine, this document is a public offer. Upon acceptance of the terms set out below, the individual or legal entity that accepts them becomes the Customer.

1.3. Upon its acceptance by the Customer, this Public Offer acquires the legal force of an Agreement between the Contractor and the Customer and has the same legal force as a bilateral written agreement signed by the parties by hand. A separate written agreement is not required.

1.4. The parties recognise the legal force of electronic acceptance of this offer (by the actions provided for in clause 1.5) on a par with a handwritten signature on a paper document (Article 207 of the Civil Code of Ukraine, Law of Ukraine “On Electronic Commerce”).

1.5. Acceptance of this offer, which confirms the conclusion of the Agreement, is any of the following actions of the Customer:

  • Registration of an account in the Service (confirmation of the email address)
  • Payment for any pricing plan
  • Installation of the Widget (Accessibility Panel) on the Customer’s Website
  • Installation of the Autofix code on the Customer’s Website or activation of the Autofix service

1.6. By accepting, the Customer confirms that they have read the terms of this offer, fully understand them, agree with them and have full legal capacity (for an individual) or proper authority (for a legal entity) to enter into the Agreement.

1.7. The current version of this offer is permanently published at inclusiveweb.net/public-offer. The date of the latest revision is stated at the beginning of the document.

1.8. A document printed by the Customer from the offer page is valid confirmation of the concluded Agreement. The Contractor's details are given in section 15 of this Agreement.

2. Definitions

  • “Service” — the “InclusiveWeb” SaaS platform (inclusiveweb.net), including the personal dashboard (my.inclusiveweb.net) and all related tools.
  • “Contractor” — individual entrepreneur (FOP) Andrii Vasylovych Vdovyn, who provides services through the Service.
  • “Customer” — an individual or legal entity that has accepted the terms of this offer.
  • “Account” — the Customer’s personalised access to the Service, created by registration.
  • “Customer’s Website” — a website owned by the Customer or which the Customer has the right to manage.
  • “Accessibility Panel (Widget)” — program code (JavaScript) integrated into the Customer’s Website that gives visitors tools to adapt content to their accessibility needs.
  • “Audit” — a service of automated scanning of the Customer’s Website for compliance with the WCAG 2.1/2.2 Level AA accessibility standards, with reports.
  • “Autofix” — a service that generates fixes for accessibility errors found by the Audit and applies the fixes approved by the Customer in the visitor’s browser through code installed on the Website. The Website’s source code is not changed.
  • “Preview” — a mode for previewing prepared Autofix fixes before they are activated on the Website.
  • “Pricing Plan” — the set of services and limits chosen by the Customer that determines the scope and cost of the services.
  • “Template Sampling” — a method of scanning large sites (500+ pages) in which the system groups URLs by template and scans representative pages of each template.

3. Subject of the Agreement

3.1. The Contractor provides the Customer with access to the Service, which includes three products that can be used separately or in combination:

a) Accessibility Panel

  • Widget with 32 adaptation tools for site visitors
  • 8 accessibility profiles (low vision, blind, cognitive impairments, motor impairments, epilepsy, older people, ADHD, colour blindness)
  • Support for 20+ interface languages
  • Appearance customisation

b) Accessibility Audit

  • Automated site scanning against the WCAG 2.1/2.2 Level AA standards
  • Checks against 90+ accessibility rules
  • Reports with a score (Score 0-100, grade A-F), a list of errors and recommendations
  • Scheduled accessibility monitoring
  • Template Sampling for sites with 500+ pages

c) Autofix

  • Generation of fixes based on the Audit results and their application after approval by the Customer
  • AI generation of alt texts for images (GPT-4o Vision)
  • AI generation of aria-label for interactive elements
  • Preview mode for checking fixes before activation
  • Management of fix rules (enabling/disabling individual rules)
  • Versioning and rollback to previous versions
  • Review Mode for visual review of fixes

3.2. The services are provided on the terms of the Pricing Plan chosen by the Customer. Each product may be purchased separately or in combination with others.

4. Pricing plans and payment

4.1. Pricing structure

Prices are determined by the number of pages of the Customer's Website and the selected products.

4.2. Annual billing

With annual billing, a discount of 35% of the total of the monthly payments is granted.

The annual billing discount cannot be combined with discounts and grants provided under the Contractor's grant programme. For grant programme participants, the cost of the services is the price of the relevant pricing plan at the monthly rate, to which the grant programme discount is applied.

4.3. Enterprise (over 100,000,000 pages)

For sites with over 100,000,000 pages — custom pricing on request, a dedicated manager, an SLA with guarantees and custom integrations. Contact: [email protected].

4.4. Currency and payment methods

  • 4.4.1. Prices on the website are shown in US dollars (USD). The payment method and currency depend on the dashboard interface language selected by the Customer when the subscription is placed.
  • 4.4.2. Payment in the dashboard in Ukrainian or Russian. Settlement is made in the national currency of Ukraine (hryvnia, UAH). In this case USD prices are shown as conventional units for comparison only, and the UAH amount is determined at the time of payment. Card payments (Visa, Mastercard) are processed through the acquiring service of JSC Universal Bank (monobank), and the UAH amount is calculated at the bank’s commercial exchange rate at the time of payment.
  • 4.4.3. Payment in the dashboard in other languages. Subscription payments are charged in US dollars (USD) through the Creem payment platform (creem.io), which acts as the Merchant of Record, i.e. the official seller of access to the Service. For such payments Creem accepts the payment, calculates, collects and remits taxes (VAT, GST, sales tax) based on the Customer’s country, issues the receipt or invoice to the Customer, and handles refunds and chargebacks. The charge appears on the card statement with a descriptor starting with CREEM.IO*. Available payment methods are determined by Creem and shown on the checkout page. Such payments are also subject to Creem’s terms of use and privacy policy published at creem.io.
  • 4.4.4. A subscription is serviced by the payment method through which it was placed, regardless of any later change of the interface language.
  • 4.4.5. The subscription renews automatically for the next month or year and is charged again until the Customer cancels it.
  • 4.4.6. Payment by bank transfer against an invoice issued directly by the Contractor is available for annual billing only. The amount in UAH is calculated at the official National Bank of Ukraine exchange rate on the invoice date.
  • 4.4.7. The Contractor is registered as a single tax payer, Group 3.

4.5. Plan limits

The unique page limit applies only to the Audit and Autofix. The Accessibility Panel is not limited by the number of unique pages.

4.6. Exceeding limits (soft buffer)

Each plan allows the page and unique page volume to be exceeded by 10% without a change in price. When 110% of the limit is reached, new pages are not scanned until the Customer moves to a higher plan; pages already scanned continue to be monitored, and Autofix continues to work for existing pages.

The Contractor sends the Customer email notifications when 90% of the limit is reached (warning), 100% (buffer activated) and 110% (new pages blocked).

4.7. Sales-assisted activation for large plans

Self-service payment and activation through the website are available up to and including the “Enterprise 250” plan. The “Enterprise 1M”, “Enterprise 10M” and “Enterprise 100M” plans are activated by individual agreement with the Contractor (contract, manual onboarding). Requests for activation are made through the form on the contact page or by email at [email protected].

5. Free trial period (Trial)

5.1. When adding a Website, the Customer automatically receives:

  • Accessibility Panel — full functionality for 7 calendar days
  • Audit — scanning of up to 3 pages for 7 calendar days
  • Autofix — Preview mode (viewing fixes without activating them in production)

5.2. No credit card is required to activate the trial period.

5.3. Activation of Autofix on a production site is available only on a paid plan.

5.4. After the trial period ends, access to the Panel is restricted. The Audit results are kept in the Customer's account.

6. Provision of services

6.1. Accessibility Panel

  • 6.1.1. The Customer adds the Website in the Service and receives the Widget code.
  • 6.1.2. The Customer places the Widget code before the closing </body> tag on their Website.
  • 6.1.3. The Widget runs in the visitor’s browser (client-side). Visitors’ personal data is NOT transferred to the Contractor’s servers.
  • 6.1.4. Visitors’ settings are stored in their browser’s localStorage.

6.2. Accessibility Audit

  • 6.2.1. After a Website is added, the system automatically discovers all pages (via sitemap.xml, robots.txt and BFS crawling).
  • 6.2.2. Scanning is performed by an automated browser according to the WCAG 2.1 and 2.2 Level A and AA rules.
  • 6.2.3. For sites with up to 500 pages, a full scan of all pages is performed.
  • 6.2.4. For sites with 500+ pages, Template Sampling is applied — the system groups URLs by template and scans 3-5 representative pages of each template.
  • 6.2.5. Scan results are stored in the Contractor’s database.

6.3. Autofix

  • 6.3.1. To connect Autofix, the Customer places two tags before the closing </head> tag on the Website pages: a link to the fixes stylesheet and the Contractor’s script. No DNS changes are required.
  • 6.3.2. Autofix generates fixes based on the violations detected by the Audit and groups them by accessibility rule. Fixes are applied to the page in the visitor’s browser.
  • 6.3.3. Important: the traffic of the Customer’s Website does not pass through the Contractor’s servers. The Contractor does not receive or store the content of pages viewed by visitors.
  • 6.3.4. Only fixes approved by the Customer become active. Until approved, fixes remain in “pending review” status and do not affect the Website.
  • 6.3.5. Autofix works on a “fail-open” basis: if the fixes file is unavailable, the script does not change the page and the visitor receives the original version. The availability of the Website does not depend on Autofix.
  • 6.3.6. AI generation of alt texts uses the OpenAI service (GPT-4o Vision). Images are sent to OpenAI solely to generate a text description. The Contractor is not responsible for data processing on the OpenAI side.

7. Rights and obligations of the parties

7.1. The Contractor undertakes to:

  • Provide access to the Service in accordance with the selected Pricing Plan
  • Ensure the Service is operational with availability of at least 99.5% of the time per month
  • Provide technical support (business days, 9:00-18:00 Kyiv time) via email and Telegram. Requests are answered within 3 business days.
  • Give 30 days’ notice of material changes to the terms of service
  • Ensure the protection of personal data in accordance with the Privacy Policy

7.2. The Customer undertakes to:

  • Provide accurate information during registration
  • Pay for the services on time
  • Use the Service only for Websites they have the right to manage
  • Not modify, decompile or distribute the Widget code
  • Not reproduce the appearance, structure, feature set or interface texts of the Widget in their own or third-party products
  • Not host the Widget files on their own servers or in any other content delivery system
  • Not use the Widget to develop a competing product and not commission third parties to do so
  • Inform their employees, contractors and agencies of the restrictions of section 9 before granting them access
  • Remove the Widget code and the Autofix code when they stop using the Service
  • Not use the Service for sites with illegal or harmful content

7.3. The Customer has the right to:

  • Choose and change the Pricing Plan at any time
  • Add and remove Websites
  • Configure the Panel, Audit and Autofix through the personal dashboard
  • Receive technical support
  • Stop using the Service at any time

8. Limitation of liability

8.1. The Service is an auxiliary tool for improving digital accessibility. Full compliance with WCAG standards depends on many factors, including the site architecture, content and technical implementation.

8.2. The Contractor does not guarantee that:

  • Use of the Service will ensure full compliance with any accessibility standards
  • The Service will operate continuously and without errors
  • All accessibility errors will be detected and/or fixed

8.3. Autofix modifies the HTML responses of the Customer's server. Although the system works on a “fail-open” basis and has a Preview mode for checking, the Contractor is not responsible for the impact of the fixes on the functionality of the Customer's Website.

8.4. The Contractor's maximum liability is limited to the amount paid by the Customer over the last 12 months.

8.5. The Contractor is not liable for indirect, incidental or punitive damages.

9. Intellectual property

9.1. The Service and all its components (source and object code, built files, styles, interface design, icons, interface texts in all languages, documentation, the InclusiveWeb name and logo) are the intellectual property of the Contractor and are protected by the Law of Ukraine “On Copyright and Related Rights”. The Widget is not open-source software and does not become the property of the Customer.

9.2. The Customer receives a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence for a single method of use: connecting the Widget to the Websites specified in the Customer's account through the line of code provided by the Contractor from the cdn.inclusiveweb.net domain, and displaying the Widget to visitors of such Websites for the term of the paid Pricing Plan.

9.3. Copying, distribution, sale or creation of derivative works without the written consent of the Contractor is prohibited, as well as: hosting the Widget files on one's own server or in any other content delivery system; reproducing or imitating the appearance, structure, composition and names of the features, profiles, icons and texts of the Widget in one's own or a third-party product, mock-up or technical specification; creating a similar or competing product based on the Widget; removing or concealing copyright notices and circumventing technological protection measures. These restrictions apply regardless of whether the relevant element is protected by copyright.

9.4. A demonstration, the Trial, a test account, documentation and other materials provided before the conclusion of the Agreement do not grant any rights to the Widget other than the right to review it in order to decide whether to conclude the Agreement. The restrictions of clause 9.3 apply from the moment such materials are received and apply regardless of whether the Agreement is concluded.

9.5. The Customer is responsible for compliance with this section by all persons who gain access to the Widget, its settings or the personal dashboard through the Customer or on the Customer's behalf — employees, contractors, web studios, agencies, developers and integrators. The actions of such persons are deemed to be the actions of the Customer.

9.6. In the event of a breach of clause 9.3, the Customer shall pay the Contractor a penalty equal to the cost of 12 (twelve) months of subscription under the selected Pricing Plan for each breach. Payment of the penalty does not release the Customer from the obligation to stop the breach and to delete unlawfully created copies. The Contractor also has the right to immediately stop providing the services, to claim damages in excess of the penalty (Article 552 of the Civil Code of Ukraine) and to recover compensation under Article 55 of the Law of Ukraine “On Copyright and Related Rights”. In such a case, refunds of amounts paid are made in accordance with the Refund Policy (clause 12.3).

9.7. The provisions of this section survive termination of the Agreement on any grounds. More about the rights to the Widget — on the Rights to the Accessibility Panel page.

10. Confidentiality and personal data

10.1. Personal data is processed in accordance with the Privacy Policy.

10.2. For the Autofix service: the visitor's browser downloads the fixes file from the Contractor's domain. Processing details are described in the Data Processing Agreement (DPA).

11. Force majeure

11.1. The parties are released from liability for failure to perform their obligations if this is caused by force majeure circumstances: natural disasters, military operations, cyberattacks, failures of internet providers, changes in legislation, actions of public authorities.

12. Termination of the Agreement

  • 12.1. The Customer may stop using the Service at any time by cancelling the subscription through the personal dashboard.
  • 12.2. After the subscription is cancelled, the Customer’s data is kept for 30 days and then deleted.
  • 12.3. Refunds are made in accordance with the Refund Policy published at inclusiveweb.net/refund-policy.
  • 12.4. The Contractor may block access in the event of a breach of the terms of this Agreement.

13. Amendments to the offer

  • 13.1. The Contractor reserves the right to change the terms of this offer.
  • 13.2. The Customer is notified of material changes 30 days in advance through publication on the website and/or an email notification.
  • 13.3. Continued use of the Service after the changes take effect means acceptance of the updated terms.

14. Dispute resolution

14.1. This Agreement is governed by the laws of Ukraine.

14.2. All disputes are resolved through negotiations. If no agreement is reached — in court in accordance with the laws of Ukraine.
